Orion Distribution – Terms of Service

These Terms of Service (“Terms”) are a legal agreement between Videorecht Nederland B.V., doing business as Orion Distribution (“Orion”, “we”, “us”, “our”), a company registered in the Netherlands, and you, the artist, label, or rights holder (“you”, “your”) regarding the use of the Orion platform and services.

By creating an account, uploading content, or using the Services, you agree to these Terms in full. If you do not agree, you may not use the Services.

1. The Platform and Services

1.1 Services Provided. Orion provides services including digital distribution, publishing administration, and support services, promotion (the “Services”). You may use one or more of these Services.

1.2 Warner Partnership. Orion operates under a distribution agreement with Warner Music Group (WMG). By using the Services, you acknowledge that your content may be delivered to digital service providers (“DSPs”) through Warner’s network.

1.3 Changes. Orion may modify, suspend, or discontinue the Platform or Services at any time without liability.

1.4 Intellectual Property. Orion owns all rights in the Platform and Services. You may not copy, modify, or make derivative works of the Platform or use Orion’s IP without permission.

2. Digital Distribution Service

2.1 Appointment. You appoint Orion and its partners (including Warner and DSPs) as your non-exclusive agent worldwide to distribute your recordings and collect royalties.

2.2 License. You grant Orion and its partners a non-exclusive, worldwide, sublicensable license to:

distribute, reproduce, and deliver your Recordings,
use your Metadata and Marketing Materials for promotion,
collect and administer royalties on your behalf.

2.3 Artist Approval. Orion will obtain your prior written consent for:

any material edits to your recordings (other than timing adjustments),
compilation or sample licenses,
synchronization licenses (except for promotion),
marketing materials not supplied by you.

2.4 Mechanical Rights. If you do not use Orion’s publishing service, you are responsible for clearing mechanical and composition rights where DSPs do not handle them.

3. Publishing Service

3.1 Minimum Period. Once you upload a Composition, it may not be removed for 12 months (“Minimum Publishing Period”).

3.2 Appointment. You appoint Orion and its partners as your non-exclusive publishing administrator to register, license, and collect royalties from your compositions.

3.3 Rights Granted. You grant Orion the rights necessary to administer and license your Compositions, including synchronization, mechanicals, adaptations, translations, and registrations with collection societies.

3.4 Artist Approval. Orion will obtain your prior consent for:

material changes to compositions,
sync licenses,
sample licenses,
grand rights (dramatic uses).

4. Support Services

4.1 If you request support services, you appoint Orion as your non-exclusive agent to obtain such services on your behalf.

4.2 You grant Orion the right to do all things necessary to provide the support.

4.3 Orion will obtain your prior consent before delivering third-party support services.

5. Payments and Charges

5.1 Income. Orion collects royalties from DSPs and partners, deducts applicable charges, and credits your account.

5.2 Deductions. Orion may deduct:

subscription fees, publishing registration fees, and service fees,
bank transfer, FX costs, and taxes,
fraud penalties or clawbacks imposed by DSPs or Warner,
any other expenses incurred on your behalf.

5.3 Pooling of Funds. Your royalties may be pooled with other clients in interest-bearing accounts. You waive any right to interest; Orion may retain any FX margin.

5.4 Payouts. Minimum payout is $20. Payments are made in USD/EUR (or another currency Orion chooses).

5.5 Taxes. You are responsible for all applicable taxes. Orion may deduct VAT/GST or other taxes as required by law.

6. Streaming Fraud, Prohibited and Rejected Releases

6.1 Streaming Fraud. You must not engage in streaming fraud (bots, click farms, fake streams). If detected, royalties will be withheld and penalties charged equal to your gross income on fraudulent activity.

6.2 Prohibited Content. You may not submit content that is:

infringing, illegal, hateful, racist, pornographic, defamatory, or misleading,
AI-generated impersonations of other artists,
fraudulent, spam-like, or harmful.

6.3 Rejected Releases. Orion may reject functional music (e.g., white noise, nature sounds), low-quality instrumentals, or AI-generated content deemed high risk.

6.4 Right of Removal. Orion may remove any release immediately if required by Warner, DSPs, or in Orion’s sole discretion.

7. Your Account

You agree to:

keep your account details accurate and up to date,
not impersonate others,
not hack, scrape, or overload the platform,
not create new accounts after suspension,
not transfer your account to another person,
not engage in activity that interferes with others’ use of the Services.

8. Representations & Warranties

You warrant that:

You own or control all rights in your content,
Your content does not infringe third-party rights,
You have obtained all necessary consents (samples, performers, writers),
Your releases are lawful and non-infringing,
You will not interfere with Orion’s ability to provide Services.

9. Term & Termination

9.1 These Terms remain in effect until terminated.

9.2 Either party may terminate with 30 days’ notice (subject to the 12-month publishing lock-in).

9.3 Orion may suspend or terminate immediately if:

you breach these Terms,
you engage in fraud,
Warner or DSPs require removal.

9.4 Surviving provisions include payment, indemnity, fraud, liability, and third-party beneficiary clauses.

10. Liability

10.1 Indemnity. You indemnify Orion, Warner, and their partners against claims, damages, and costs arising from your content, fraud, or breaches of these Terms.

10.2 Disclaimer. Services are provided “as is” without warranties of uninterrupted use, error-free operation, or fitness for purpose.

10.3 Limitation. Orion and Warner are not liable for indirect or consequential damages (lost profits, goodwill, data).

11. Privacy & Data Sharing

Orion collects and shares your data as outlined in the Privacy Policy. Data may be shared with Warner, DSPs, payment providers, and authorities as required.

12. General

12.1 Amendments. Orion may update these Terms at any time. Continued use = acceptance.

12.2 Orion Promotion Terms. By using Orion Distribution, you also agree to the Orion Promotion Terms and Conditions governing the promotional services (“Promotion Part”), which are incorporated by reference and available at: https://orionpromotion.com/generalterms

12.3 Third-Party Beneficiaries. Warner, DSPs, and Orion’s partners are third-party beneficiaries entitled to enforce these Terms.

12.4 Assignment. You may not assign your rights. Orion may assign to Warner or affiliates.

12.5 Severability. If any clause is invalid, the remainder still applies.

12.6 Waiver & Remedies. Failure to enforce rights does not waive them. Remedies are cumulative.

12.7 Governing Law. These Terms are governed by Dutch law. You agree to the exclusive jurisdiction of the courts of the Netherlands.

12.8 Entire Agreement. These Terms, together with Orion Promotion Terms and the Privacy Policy, form the full agreement between you and Orion.

Orion Distribution – Privacy Policy

This Privacy Policy explains (“Orion”) collects, uses, and shares personal information.

1. Data Collected

We collect:

Registration details (name, email, contact, payment info, tax IDs),
Artist information, metadata, artwork, marketing materials,
Usage data, device/browser logs.

2. How We Use Data

We use your data to:

Operate your account,
Deliver releases to DSPs,
Process and pay royalties,
Comply with legal and contractual obligations,
Provide support and communications.

3. Sharing of Data

We may share your data with:

Warner Music Group and affiliates,
DSPs (Spotify, Apple, etc.),
Payment providers, tax authorities, collection societies,
Service providers supporting the Platform.

We do not sell personal data.

4. Data Retention

We retain data as long as necessary to provide Services or comply with law. You may request deletion, except where legally required.

5. Your Rights

Under GDPR and Dutch law, you have rights to:

access your data,
correct inaccuracies,
request deletion,
restrict processing,
data portability..

6. Security

We use industry-standard safeguards. However, no system is fully secure.

7. International Transfers

Your data may be transferred outside the EU, including to Warner and DSPs, under lawful safeguards.

8. Updates

We may update this Privacy Policy. Continued use after changes means acceptance.
